To register a normal private company in South Africa, use the Companies and Intellectual Property Commission, usually through BizPortal or CIPC’s electronic services. A standard private company costs R125 without a name or R175 including a company name through BizPortal. A private company needs at least one director. After registration, you must also deal with beneficial ownership, tax administration and annual CIPC compliance.

Registering a company creates a formal company record with CIPC. For a private company, the registered name normally ends in (Pty) Ltd.

Company registration is only the first part of starting a compliant business. Depending on what the business does and whether it employs people, you may also need SARS registrations, UIF, Compensation Fund registration, industry licences, a business bank account and ongoing CIPC filings.

Do You Need to Register a Company?

Not every person who starts earning business income has to form a private company.

Private Company A company registered with CIPC, usually ending in (Pty) Ltd. This is a common structure where owners want the business operated through a separate registered company.
Sole Proprietor A person trading in their own name or business name. A sole proprietorship is not registered as a separate company with CIPC.
Partnership Two or more people may operate together under a partnership arrangement. The partnership itself is not registered as a company simply because the partners trade together.
Do not register a company only because somebody told you every business must have a CIPC number.

Choose the structure that fits the ownership, risk, tax, administration and growth needs of the business. A private company brings ongoing filing and record-keeping duties that continue after the registration certificate is issued.

What Do You Need to Register a Private Company?

For a normal private company with a standard Memorandum of Incorporation, prepare the information below before starting the application.

At least one director A private company must have at least one director.
Director identification South African directors are verified against their official identity records.
Contact information Use working email addresses and cellphone numbers because electronic verification and notices can depend on them.
Registered business address You will need physical and postal address information for the company.
Financial year-end The registration process asks for the company’s financial year-end.
Company name choice You can register with a name or register without one and add a name later.

Can one person register a company alone?

Yes. A standard private company must have at least one director and one incorporator, and the same person can be both.

You therefore do not need to add another person simply to create a normal one-owner private company.

Do not add someone as a director just to complete the form.

A director holds a formal position in the company. Only appoint a person who is actually intended to serve as a director and who understands that role.

An accountant, attorney or company secretarial service can charge for its time and additional services, but that service fee is separate from the official CIPC filing fee.

Choosing and Reserving a Company Name

A for-profit company can be registered either with a reserved company name or without one.

Registering with a name

If you want the company registered as something such as Example Trading (Pty) Ltd, submit the proposed name during the registration process or reserve it through an accepted CIPC channel.

A name reservation application can include up to four proposed names in order of preference. The electronic filing fee is currently R50.

How long is an approved name reserved?

CIPC states that an approved company name reservation is valid for six months.

What happens if you register without a company name?

The company can still be registered. CIPC uses the enterprise registration number as the registered name, with (South Africa) added as the suffix.

A company can later reserve a suitable name and complete the required name-change process.

Registering without a name can be the quickest route when the company needs to be incorporated first.

You can deal with the formal registered name later, but changing it after incorporation is a separate CIPC transaction.

Company name approval does not automatically give you trade mark rights.

Before building a brand around a name, consider whether the name conflicts with an existing business identity or registered trade mark. Company registration and trade mark protection are separate matters.

What Documents Do You Receive After Registration?

Keep every registration document CIPC issues. You may need company records when dealing with banks, SARS, suppliers, licensing authorities and other organisations.

Important company records can include:

  • The company registration certificate.
  • The company’s registration number.
  • The Memorandum of Incorporation.
  • Records showing the company’s directors.
  • Name reservation or name approval records where applicable.
Do not send your company registration documents to strangers who offer funding, tenders or loans without checking who they are.

Company documents contain information that can be misused. Only share documents when there is a legitimate reason and you know who is receiving them.

Does CIPC Automatically Register the Company With SARS?

Yes. A company registered with CIPC is automatically registered with SARS for Corporate Income Tax through the CIPC and SARS interface.

You normally do not submit a separate Corporate Income Tax registration just because you created the company through CIPC.

You still need to manage the company’s tax affairs through SARS, including the company’s eFiling access and registered representative arrangements.

Company registration is not the same as VAT registration

Automatic Corporate Income Tax registration does not mean the new company is automatically registered for every tax type.

PAYE, VAT and other registrations depend on whether the company meets the requirements for those tax types.

Beneficial Ownership Registration With CIPC

Beneficial ownership is one of the most important compliance steps after company registration.

CIPC defines a beneficial owner as a natural person who ultimately owns or exercises effective control over a company. Its current guidance uses a 5% threshold for ownership, beneficial interest, voting rights and similar forms of control.

Beneficial Ownership Deadlines Do not wait for the first annual return if a filing is already due.

Companies incorporated under the current beneficial ownership regime generally need to submit the required beneficial ownership information within 10 business days after incorporation.
Ownership changes
Changes to beneficial ownership information must generally be updated with CIPC within 10 business days.

The latest beneficial ownership information must also be in place when the company’s annual return is filed.
Who is declared?
The beneficial owner is a natural person, not simply another company or trust appearing somewhere in an ownership chain.
Being a director and being a beneficial owner are not automatically the same thing.

A director manages the affairs of the company in that role. Beneficial ownership looks at the natural persons who ultimately own or exercise effective control over the company.

Opening a Business Bank Account

Once the company exists, you can apply for a business bank account in the company’s name.

The bank can ask for:

  • CIPC company registration information.
  • Director identification.
  • Company address information.
  • Tax or business information.
  • Beneficial ownership information.
  • Additional compliance records required by the bank.

Does a New Company Need VAT Registration?

Not automatically.

From 1 April 2026, compulsory VAT registration generally applies when taxable supplies exceed or are expected to exceed R2.3 million in a consecutive 12-month period, subject to the VAT rules that apply to the business.

SARS currently provides for voluntary registration in qualifying circumstances where the relevant taxable supplies exceed R120,000 over the applicable period.

A CIPC registration number is not a VAT number.

Do not add VAT to customer invoices unless the business is properly registered as a VAT vendor and entitled to charge VAT.

B-BBEE After Company Registration

Registering a company does not by itself give the company a particular B-BBEE ownership level without considering the applicable B-BBEE rules.

Do not pay somebody simply because they say every new company needs an expensive B-BBEE certificate immediately.

Does CIPC Registration Give You Every Business Licence?

No. CIPC registration creates the company. It does not automatically approve every regulated business activity.

Depending on the business, separate registrations, licences or permits may be required.

  • Financial services.
  • Construction-related registrations.

A CIPC certificate does not prove that a regulated business is licensed to provide every service listed on its website.

Check the regulator that applies to the actual industry before trading in a regulated activity.

What Must a Company File Every Year?

Keeping the company registered requires more than creating it once. CIPC has annual filing requirements.

Annual Return Filed with CIPC each year after the company’s anniversary date.
Beneficial Ownership Must be current before the annual return can be completed.
AFS or FAS The relevant financial reporting submission is required as part of the annual return process.
SARS Returns Tax returns remain separate from the CIPC annual return.

CIPC requires companies to file the annual return and related compliance information within 30 business days after the company’s anniversary date.

CIPC’s annual return process also requires the latest beneficial ownership declaration and the applicable Audited Financial Statements or Financial Accountability Supplement.

Ignoring annual returns can eventually lead to deregistration.

Do not assume that a company remains active forever simply because it was successfully registered once. Keep CIPC contact details current and complete the annual compliance process when it becomes due.

Is a CIPC annual return the same as a SARS tax return?

No. They are separate obligations.

The CIPC annual return keeps the company’s corporate registration information up to date. SARS tax returns deal with the company’s tax obligations.

Can a Foreign National Be a Company Director?

CIPC has a Foreigner Assurance process for foreign nationals whose identity information needs to be verified before using certain CIPC services.

Foreign nationals can be required to submit a certified passport or foreign identity document through the CIPC eServices verification process.

BizPortal registration starts differently for a person without a South African ID.

BizPortal currently directs foreign users who do not yet have a CIPC profile to create their customer profile through CIPC eServices first.

Company registration and immigration permission are separate matters.

Being appointed as a director or shareholder of a South African company should not be treated as automatic permission to live or work in South Africa.

What If the Business Is Already Incorporated Overseas?

A company incorporated outside South Africa is not necessarily registered as a new South African private company simply because it starts operating here.

Where the Companies Act requires it, a foreign company conducting business in South Africa must register with CIPC as an external company.

CIPC currently charges R400 for an external company registration and uses an electronic application process.

This is a different process from creating an ordinary new South African (Pty) Ltd.

Avoid Company Registration Scams

CIPC registration information is easy for dishonest operators to use when selling unnecessary services to new business owners.

Be careful if someone:

  • Promises guaranteed tenders after registering your company.
  • Claims CIPC requires an expensive private registration package.
  • Asks for your CIPC password or OTP.
  • Promises to sell you an existing company without explaining the company’s history and liabilities.
  • Demands payment for a licence that does not apply to your industry.
  • Claims that every company automatically needs VAT registration.
Never give another person an OTP unless you understand the CIPC transaction you are approving.
